Terms of Service
These Terms of Service are a legally binding agreement between you and Intellax, governing your access to and use of our website, AI sales CRM platform and all affiliated SaaS services.
These Terms of Service (hereinafter referred to as the "Terms") are a legally binding agreement between you (hereinafter referred to as "User", "you" or "your") and Intellax (hereinafter referred to as "we", "us" or "our"), governing your access to and use of our official website, AI-powered sales CRM platform, AI call transcription, intelligent sales note generation, customer relationship management and all other affiliated SaaS services (collectively referred to as the "Services").
By registering an account, logging in, browsing our website or using any functional modules of our Services, you acknowledge that you have read, understood and agreed to be bound by these Terms, as well as our published Privacy Policy. These Terms apply to all visitors, free trial users, paid subscribers, demo participants and enterprise authorized users of our platform. If you do not accept any clauses herein, you must stop using our Services immediately.
1.Account Registration & User Eligibility
1.1 Eligibility Requirements
You must be at least 18 years old and have full capacity for civil conduct to use our Services. If you are using the Services on behalf of an enterprise or organization, you warrant that you have complete legal authorization to bind such entity to these Terms.
1.2 Account Registration Rules
- You shall provide true, accurate, complete and up-to-date personal and enterprise information during account registration, including email address, company information and job title.
- You are solely responsible for maintaining the confidentiality of your account login email, password and verification code. All behaviors operated under your account shall be deemed as your own behaviors, and you shall bear all corresponding legal liabilities.
- You shall not transfer, rent, sell or lend your Intellax account to any third party without our written official approval.
- You shall notify us immediately once you find unauthorized account login, password leakage or abnormal account operations.
2.Service Description & Usage Rules
2.1 Service Content
Intellax provides AI-driven sales CRM dedicated for global sales teams, covering core services including customer lead management, sales follow-up record management, real-time call recording, AI conversation transcription, automatic CRM sales note generation, sales data analysis and third-party CRM system integration. We reserve the right to upgrade, optimize, adjust or iteratively update service functions according to product operation needs and market demands without prior individual notice to users.
2.2 Prohibited User Behaviors
You agree not to conduct any of the following prohibited behaviors when using our Services:
- Violate local laws, U.S. laws, EU GDPR regulations and other applicable international laws and regional regulatory policies.
- Upload, store or disseminate illegal, infringing, obscene, harassing, threatening or discriminatory content via our CRM platform.
- Use our Services to send spam emails, harassing messages or malicious marketing content to third-party customers.
- Carry out crawler grabbing, brute force cracking, malicious attack, system intrusion or other behaviors that damage platform network security.
- Copy, decompile, reverse engineer, modify or secondary develop our platform code, algorithm, AI model and system background without written authorization.
- Misuse platform functions to forge sales data, fake call records or false customer follow-up information.
- Other behaviors that damage the normal operation of our platform and legitimate rights and interests of us and other users.
3.Paid Service & Billing Terms
- Free Trial Service: We provide limited free trial authority for new users. The trial cycle, functional limits and data storage quota are subject to the rules displayed on the official website. After the trial expires, partial core functions will be locked automatically.
- Paid Subscription Plan: All paid packages adopt subscription billing mode (monthly, quarterly or annual). Service fees, functional scope and storage quota are subject to the official pricing page published by us.
- Automatic Renewal: If you enable automatic renewal, you authorize us to deduct corresponding fees automatically before each billing cycle expires. You can turn off automatic renewal at any time in your personal account backend before renewal takes effect.
- Refund Policy: No partial refund is supported for unused time within a paid billing cycle. We only accept full refund applications for abnormal platform service failures that last more than 7 consecutive days and cannot be repaired. We do not support refunds for user's voluntary abandonment of services, improper operation or personal usage needs change.
4.Intellectual Property Rights
4.1 Our Intellectual Property
All intellectual property rights of the Intellax platform belong exclusively to us, including but not limited to website source code, system interface design, logo, trademark, text description, AI algorithm model, function module, software copyright and all official released product documents. You are only granted limited non-exclusive, non-transferable usage rights during the service period, and no ownership of any platform intellectual property rights.
4.2 User Content Ownership
- You retain all ownership of your original business data uploaded to the platform, including customer contact information, manual sales records and original call audio files.
- We own all intellectual property rights of AI-generated content based on your raw data, including AI transcribed texts, automatically generated CRM notes and intelligent sales analysis reports.
- You authorize us to use your uploaded anonymous business data to optimize our AI algorithm and product functions during your use of the Services, without additional royalty fees.
5.Service Availability & Disclaimer of Liability
- We will try our best to ensure long-term stable operation of the platform, but we do not promise that the Services will run without interruption, zero error or 100% security all the time.
- We may carry out regular system maintenance, server upgrade and emergency fault repair, which will lead to temporary service interruption. We will publish advance maintenance notices on the official website as far as possible.
- We shall not be liable for any indirect losses, including but not limited to profit loss, business interruption loss, customer data loss caused by your improper operation, third-party network failure, force majeure events such as natural disasters, wars and network attacks.
- We are not responsible for the privacy policy and service terms of third-party linked websites and third-party integrated CRM platforms, and all risks arising from third-party services shall be borne by you yourself.
6.Account Suspension & Termination
6.1 Active Account Cancellation by Users
You can apply for account cancellation independently in the account backend at any time. After successful cancellation, we will delete all your personal identifiable data and business data in accordance with our Privacy Policy within 30 days, and you will no longer enjoy all platform service rights.
6.2 Forced Account Suspension by Us
We have the right to suspend or permanently terminate your account without prior notice if you violate these Terms, including but not limited to illegal use of services, account theft infringement, malicious harassment, repeated violation of platform rules and serious damage to platform security.
7.Privacy Protection
Your personal data and business sensitive data processing shall be subject to our official Privacy Policy, which is incorporated into these Terms as an integral part. Your use of the Services means that you also agree to all clauses of the Privacy Policy. We will protect your user data in strict accordance with CCPA, GDPR and other global data protection laws.
8.Revision of Terms
We reserve the right to revise and update these Terms irregularly to adapt to service upgrades, billing rule adjustments and updated legal regulatory requirements. We will post the latest revised Terms on our official website homepage with an updated effective date. Your continued use of the Services after the revision takes effect means that you accept the updated Terms of Service.

10.Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, excluding its conflict of law provisions. Any disputes arising out of or relating to these Terms shall be settled through friendly negotiation firstly. If negotiation fails, both parties agree to submit the dispute to the competent court located in California, USA for exclusive jurisdiction.
